Service Agreement

Between Be Uncommon LLC (Service Provider) and Client (Membership Purchaser)

EFFECTIVE UPON MEMBERSHIP PURCHASE

PARTIES:

This Service Agreement ("Agreement") is entered into by and between Be Uncommon LLC, a Wyoming limited liability company, operating under the Proud Earther brand, with its principal place of business at Wyoming Registered Agent Services LLC, 30 N Gould St Ste 100 Sheridan, WY 82801 (“Service Provider”), and any individual or business entity (“Client”) that purchases a Proud Earther membership package through the official Proud Earther website.

1. AGREEMENT ACTIVATION

This Agreement becomes legally binding and effective immediately upon completion of the Client's online payment for a Proud Earther membership. By proceeding with the payment, the Client confirms full acceptance of this Agreement, along with the Terms & Conditions, Privacy Policy, and Refund Policy available on the Proud Earther website.

2. MEMBERSHIP ACTIVATION

The Client's Proud Earther membership shall be considered officially activated on the date of the first members only event or project launch party, currently projected for November 2025.

Proud Earther reserves the right to postpone this initial activation event for a period of up to three (3) months, if necessary, to complete the onboarding of influencers, bloggers, and registered members. By entering into this Agreement, the Client expressly acknowledges and agrees to this potential delay.

Proud Earther is obligated to provide the Client with formal notice of all upcoming events and any changes to the event schedule no later than fourteen (14) days prior to the scheduled date. Notifications will be sent to the contact information provided by the Client at the time of registration or payment.

3. SCOPE OF SERVICES

The Service Provider agrees to deliver the following services, in accordance with the specific Proud Earther membership package purchased by the Client:

Included Services:

Business Promotion, determined by the purchased membership package, which may consist of:
a. Social media mentions through Proud Earther ambassadors and partners (influencers and bloggers with a combined audience exceeding 10 million viewers across Indonesia, Australia, the United States, and Europe).
b. Banner placement at private network events and CSR/social/environmental campaigns.
c. Brand logo visibility on the Proud Earther website.
d. Inclusion in Proud Earther digital marketing campaigns.
Exclusive Event Access:
Participation in up to three (3) private, members-only networking events per calendar year.
Participation in CSR Campaigns:
Opportunities to contribute to and receive exposure from Proud Earther-led social and environmental initiatives, in partnership with NGOs and ambassadors.

4. CUSTOMIZATION OF TERMS

Both the Client and the Service Provider may request to customize or extend the terms of this Agreement to include additional services, benefits, or conditions.

Any such custom terms must be proposed in writing and are considered binding only once mutually agreed upon in writing by both parties (e.g., via email confirmation or updated service outline).

5. SERVICE PROVIDER OBLIGATIONS

The Service Provider agrees to:

Deliver the agreed-upon services according to the membership package selected and purchased by the Client.
Notify the Client of any delays or changes in event scheduling via the email provided at checkout.
Provide information on the engagement and viewership metrics of promotional videos, upon the Client’s written request.
Fulfill all obligations related to the Client’s business promotion based on the purchased package.

6. CLIENT OBLIGATIONS

The Client agrees to:

Submit brand logo files and any required promotional materials within 14 calendar days of the membership purchase.
Read and acknowledge all posted Terms & Conditions, Privacy Policy, and Refund Policy on the Proud Earther website.
Consent to the use of their logo in Proud Earther promotional videos, including those for CSR and private member events.
Provide valid and up-to-date contact information for a representative responsible for communication with Proud Earther.

7. TERM AND TERMINATION

This Agreement remains in effect for twelve (12) months from the date of membership purchase or until all services are fulfilled, whichever comes first. The Agreement may be terminated by the Client or the Service Provider with 30 days written notice, provided all obligations up to that point have been fulfilled.

8. PAYMENT TERMS

All fees are due in full at the time of online purchase. Services will not commence until payment is received. Pricing and service descriptions are clearly stated on the Proud Earther website at the time of purchase.

9. FORCE MAJEURE

Neither party shall be liable for failure to perform due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, strikes, labor shortages, pandemics, or governmental actions.

10. LIMITATION OF LIABILITY

The Service Provider shall not be held liable for any indirect, incidental, or consequential damages. Total liability for any claim related to this Agreement shall not exceed the amount paid by the Client for the membership package.

11. DISPUTE RESOLUTION & GOVERNING LAW

This Agreement shall be governed by the laws of the State of Wyoming, United States.

In case of disputes, the parties agree to attempt informal resolution first. If unresolved, the matter shall be submitted to binding arbitration under the rules of the American Arbitration Association, with the venue located in Wyoming.

12. BREACH AND PENALTIES

Failure to comply with the Client obligations—such as missing deadlines for asset delivery or providing invalid contact details—may result in delays or forfeiture of service benefits, without refund. The Service Provider reserves the right to pause or discontinue service delivery if terms are breached.

13. ENTIRE AGREEMENT

This Agreement, along with the associated Terms & Conditions, Privacy Policy, and Refund Policy available on the Proud Earther website, represents the entire understanding between the parties and supersedes all prior agreements, whether written or oral.

By completing the online purchase of a Proud Earther membership, the Client acknowledges and agrees to the terms of this Agreement in full.
